Terms of use

This agreement

Folivue is operated by Age Otori Pte. Ltd. (UEN 201811354W), a company incorporated in Singapore with its registered office at 160 Robinson Road, #14-04 Singapore Business Federation Center, Singapore 068914 (“we”, “us”, “our”). These terms are an agreement between you and us.

By using Folivue — whether or not you sign in — you agree to these terms, to the Disclaimer, and to the Privacy policy. All three are part of the same agreement. If you do not agree to any of them, do not use Folivue.

What Folivue is

Folivue is a web application for following markets: you can search for securities, look at quotes, charts, company figures and headlines supplied by a third party, keep watchlists, and track a portfolio built from transactions you enter yourself.

Folivue is not a broker, dealer, exchange, custodian, fund manager or financial adviser. It does not place orders, hold money or assets, connect to your brokerage account, or produce market data of its own. It is an information and record-keeping tool and nothing more.

No advice, and no warranty

Folivue is provided “as is” and “as available”. Nothing on it is financial, investment, tax or legal advice. Market data comes from a third-party provider, may be delayed, incomplete or wrong, and must not be relied on for trading. Portfolio figures are estimates computed from what you typed in, not a brokerage statement. The full explanation, including how stale the numbers can be and why your portfolio total will not match your broker’s, is in the Disclaimer, which forms part of these terms. Read it.

To the fullest extent permitted by law we exclude all warranties, conditions and terms implied by statute or common law, including any as to accuracy, completeness, timeliness, satisfactory quality, merchantability, fitness for a particular purpose and non-infringement.

Who may use it

To use Folivue you must:

• be at least 18 years old and able to enter into a binding contract;
• not be barred from using the service under the laws of Singapore or of the country you are in;
• use it for your own personal, non-commercial purposes.

Your account

Accounts are created by signing in with a Google account; there is no separate Folivue password. You are responsible for keeping your Google account secure, and for everything done through your Folivue account. Tell us at hello@folivue.com if you think someone else has used it.

One account is for one person. Do not share it, sell it, or let anyone else use it. You may stop using Folivue at any time, and may ask us to close your account and delete its data as described in the Privacy policy.

What you put in

The lists, names, symbols and transactions you enter remain yours. You give us only the permission we need to run the service — to store that content, process it, and show it back to you (including computing prices, values and gains from it). We do not use it for anything else, we do not show it to other users, and we do not sell it.

You are responsible for the accuracy of what you enter. Folivue computes from your ledger exactly as you typed it and cannot tell a mistyped price from a real one.

Acceptable use

You must not:

• scrape, crawl, or make automated or bulk requests to Folivue or its internal endpoints, or use it as a data feed for another application or service;
• redistribute, resell, republish or commercially exploit the market data, news, company figures or any other third-party content shown on Folivue — that content belongs to its providers and is shown to you for your own personal use;
• try to gain access to another user’s account or data, or to any part of our systems you have not been given access to;
• probe, overload, interfere with or disrupt the service, or circumvent any rate limit, authentication or security measure;
• reverse engineer, decompile or copy the service except to the extent the law expressly allows it;
• upload or store anyone else’s personal data, or any unlawful, infringing or offensive content;
• use Folivue for anything unlawful, including market manipulation, insider dealing, or presenting its output to anyone else as regulated financial advice.

Availability and changes

Folivue is under active development. We may add, change, suspend or remove any part of it at any time, and we do not promise any level of availability, uptime or support. Sections of a page depend on a third-party provider and can be empty or out of date when that provider is unavailable.

We may change these terms. The current version always lives at this address, with its date at the top. If a change materially affects your rights we will make a reasonable effort to tell you before it takes effect; continuing to use Folivue after that means you accept the new terms.

Fees

Folivue is free to use at launch. If that ever changes, we will say so before it does and you will hear it from us first. We make no promise about what it will cost in future.

Suspension and termination

We may suspend or terminate your access, with or without notice, if you breach these terms, if we are required to by law, or if we reasonably believe your use puts the service or other users at risk. Where it is reasonable to do so, we will tell you why and give you a chance to put it right.

We may also discontinue Folivue entirely. If we do, we will give you reasonable notice and a reasonable opportunity to record anything you want to keep, since Folivue offers no export today.

On termination your right to use the service ends. What happens to your data is governed by the Privacy policy. The sections of these terms that by their nature should survive termination — including the disclaimers, the limitation of liability, the indemnity and the governing-law clause — do survive it.

Limitation of liability

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to that, and to the fullest extent permitted by law:

• We are not liable for any trading or investment decision you take, or for any loss you suffer as a result of one. That includes losses arising from data that was delayed, inaccurate, incomplete or unavailable, and from portfolio figures that did not match your broker’s.
• We are not liable for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, business, goodwill, opportunity or data.
• Our total aggregate liability arising out of or in connection with these terms and your use of Folivue is limited to the greater of S$100 and the total amounts (if any) you paid us for Folivue in the twelve months before the event giving rise to the claim.

Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms, your misuse of Folivue, or your infringement of anyone else’s rights.

General

• Whole agreement. These terms, the Disclaimer and the Privacy policy are the entire agreement between us about Folivue.
• Severability. If any part is found unenforceable, the rest continues to apply.
• No waiver. If we do not enforce a right, we do not give it up.
• Assignment. You may not transfer your rights under these terms. We may transfer ours to a successor of the business, on notice to you.
• Third parties. Nobody other than you and us has any right to enforce these terms under the Contracts (Rights of Third Parties) Act 2001.

Governing law and jurisdiction

These terms, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes), are governed by the laws of Singapore.

You and we submit to the exclusive jurisdiction of the courts of Singapore.
